Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you and Prospectee ("Prospectee", "we", "us") governing your access to and use of the Prospectee website, app, browser extension, and APIs (collectively, the "Service"). By creating an account or otherwise using the Service, you agree to these Terms.

2. The Service

Prospectee is a bring-your-own-API-keys (BYOK) lead enrichment platform. You connect your own data, AI, and email-finding provider keys, and Prospectee orchestrates calls to those providers on your behalf. Prospectee does not resell provider credits and does not act as a reseller of provider data.

3. Accounts

• You must provide accurate registration information and keep it up to date.
• You are responsible for safeguarding your password and any actions taken under your account.
• You must be at least 16 years old and authorized to act for any organization you represent.

4. Your Data and API Keys

You retain all rights to the lead data you upload and to the API keys you connect. You grant Prospectee a limited license to host, process, and transmit that data solely to operate the Service for you (including forwarding requests to your connected providers). You are solely responsible for the lawfulness of the data you process through Prospectee.

5. Third-Party Providers

The Service depends on third-party providers (e.g., enrichment, AI, email-finding APIs) that you connect with your own keys. Your use of those providers is governed by their terms and pricing. Prospectee is not responsible for provider availability, accuracy, billing, or compliance. Provider charges are billed directly to you by the provider.

6. Credits and Fees

Core orchestration on Prospectee is free. Some platform actions (such as previews and certain run features) consume internal credits. Where Prospectee charges fees for paid plans or credits, the applicable price and terms will be displayed before purchase. Provider costs are always paid by you directly to the provider.

7. Acceptable Use

You agree not to:

• Use the Service to violate any law, regulation, or third-party right.
• Send unsolicited bulk messages, spam, or content that is harassing, deceptive, or unlawful.
• Reverse engineer, scrape, or attempt to disrupt or gain unauthorized access to the Service.
• Process data of individuals where you lack a lawful basis to do so.
• Resell, sublicense, or otherwise commercialize the Service without our written permission.

8. Intellectual Property

Prospectee and its licensors own all rights, title, and interest in the Service, including its software, design, and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

9. Beta Features

The Service may include beta or early-access features. They are provided "as is", may change or be removed without notice, and may not be as reliable as generally available features.

10. Termination

You may stop using the Service at any time and delete your account. We may suspend or terminate your access if you breach these Terms, create risk for the Service or other users, or for prolonged inactivity. Sections that by their nature should survive (e.g., IP, disclaimers, limitations) will survive termination.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that enrichment results will be accurate or complete.

12. Limitation of Liability

To the maximum extent permitted by law, Prospectee will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) USD 100.

13. Indemnification

You agree to indemnify and hold Prospectee harmless from any claims, damages, or expenses arising from your data, your use of the Service, your use of third-party providers, or your violation of these Terms or applicable law.

14. Changes to the Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the jurisdiction in which Prospectee is established, without regard to its conflict-of-laws principles. Disputes will be resolved in the courts of that jurisdiction unless otherwise required by applicable law.
